1. Agreement to Terms

By accessing or using RepFlow ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

RepFlow is a software-as-a-service (SaaS) platform that allows businesses to:

• Connect their Google Business Profile accounts
• Sync and display Google reviews on their websites
• Customize the appearance and behavior of review widgets
• Track widget performance through analytics
• Manage multiple business locations

3. Account Registration and Security

3.1 Account Creation

You must create an account to use RepFlow. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Be at least 18 years old or the age of majority in your jurisdiction
• Have the authority to bind your business to these Terms

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Subscription Plans and Billing

4.1 Subscription Tiers

RepFlow offers the following subscription plans:

• Free Plan: 1 business location, 3 widgets, 1,000 impressions/month
• Pro Plan ($19/month): 5 locations, 15 widgets, 50,000 impressions/month
• Business Plan ($49/month): Unlimited locations, widgets, and impressions

4.2 Payment Terms

• Subscriptions are billed monthly in advance via Stripe
• All fees are in USD and non-refundable except as required by law
• You authorize automatic recurring charges to your payment method
• We may change prices with 30 days' notice
• Failure to pay may result in service suspension or termination

4.3 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• No refunds for partial months or unused services
• Downgrading plans takes effect at the next billing cycle

5. Acceptable Use Policy

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Display fake, misleading, or fraudulent reviews
• Manipulate or artificially inflate widget metrics
• Circumvent usage limits or access controls
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data
• Interfere with or disrupt the Service
• Upload malware, viruses, or harmful code
• Impersonate others or misrepresent your affiliation
• Share your account with unauthorized users

6. Google Business Profile Integration

6.1 Authorization

By connecting your Google Business Profile, you authorize RepFlow to:

• Access your business locations and reviews
• Sync review data periodically
• Display reviews on your website via widgets

6.2 Your Responsibilities

• You must have proper authorization to access the Google Business Profile accounts you connect
• You are responsible for complying with Google's Terms of Service
• Reviews displayed remain subject to Google's policies

6.3 Data Accuracy

We sync review data from Google, but cannot guarantee:

• Real-time synchronization (syncs occur every 6 hours)
• Accuracy of review content (provided by Google)
• Availability of Google's APIs

7. Intellectual Property Rights

7.1 Our Rights

RepFlow and all related content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws.

7.2 Your License

We grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Service for your business purposes
• Embed widgets on websites you own or control
• Display your Google Business reviews via our widgets

7.3 Your Content

You retain all rights to your business information and widget configurations. By using RepFlow, you grant us a license to use, store, and display this content as necessary to provide the Service.

8. Service Availability and Support

8.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

8.2 Support

• Free Plan: Email support, 48-hour response time
• Pro Plan: Email support, 24-hour response time
• Business Plan: Priority email support, 12-hour response time

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of data
• Warranties that defects will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPFLOW SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from third-party services (Google, Stripe, etc.)
• Damages exceeding the amount you paid in the past 12 months

Some jurisdictions do not allow limitation of liability for consequential damages, so the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless RepFlow from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you display via widgets

12. Termination

12.1 By You

You may terminate your account at any time through your account settings or by contacting us.

12.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay fees
• Pose a security risk

12.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• Widgets will stop functioning on your website
• We may delete your data after 30 days
• Outstanding fees remain due

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration rather than in court, except you may assert claims in small claims court if they qualify.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and RepFlow
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any provision does not waive our right to enforce it later
• Assignment: You may not assign these Terms; we may assign them without restriction
• Force Majeure: We are not liable for failures due to circumstances beyond our control
• Notice: We may provide notices via email or through the Service
